The company on its way to a $2.7 billion exit, and the Israeli connection

Stock Pioneer Jumps today (Tuesday) on Nasdaq by more than 20%, following a Reuters report that it is in talks to sell it to Nuvei from Canada, in a deal of $2.7 billion, which reflects the company’s activity value of about $2.3 billion. Before the report, Pioneer’s market value was about $1.7 billion. The company, which has Israeli roots, was founded by Yuval Tal, now a partner in Team8

Pioneer is a fintech company that provides small and medium-sized businesses with a solution for carrying out cross-border transactions, and enables them, for example, to receive payments, hold foreign currency and pay salaries to their employees.

Nuvei, which according to the Reuters report may acquire Pioneer, is a company that provides payment solutions and payment processing. This is a private company, which was previously traded in Toronto and Nasdaq for several years, but was purchased by the Advent fund for 6.3 billion dollars and delisted (this is the same fund that last year also purchased the Israeli Sapience, a provider of software solutions for the insurance world).

Pioneer began trading when it was merged with a SPAC company in 2021, which was the peak year of the phenomenon of these mergers, and its value at the time of the merger was 3.3 billion dollars. However, like many companies that merged that year, it lost much of its value in the years that followed, and at its low in 2022 it was trading at less than half of its merger value.

Pioneer was established in 2005, by Yuval Tal and Viniv Chechik. Today it is managed from the USA by John Kaplan, but 51% of its employees are employed in Israel, that is, about 1,250 employees based on its human capital data for the end of 2025. However, let us recall that in December 2025 a round of layoffs was carried out in the company.

In the first quarter of this year, Pioneer recorded revenues of $262 million, a growth of 6% compared to the corresponding quarter, and its net profit decreased by 5% to $19.6 million. The adjusted EBITDA (earnings excluding interest, tax, depreciation and amortization) grew by 6% and amounted to 69.4 million dollars. The company said with the publication of the reports that the year started with strong momentum with growth in small and medium businesses and progress in the upmarket strategy.

Pioneer expects this year revenues of 900-940 million dollars after neutralizing interest income, which will amount to 200 million dollars. The annual adjusted EBITDA will reach 285-295 million dollars.
