Gelex announces candidates for the new board of directors

The list of candidates for the new term board of directors includes: Mr. Nguyen Van Tuan; Mr. Le Ba Tho; Mr. Luong Thanh Tung; Mr. Dau Minh Lam and Ms. Nguyen Thi Minh Giang. Among them, Mr. Dau Minh Lam and Ms. Nguyen Thi Minh Giang are independent members of the board of directors.

Thus, 4 out of 5 members of the 2021-2026 term will continue to be nominated for a new term. Mr. Nguyen Trong Hien – Chairman of the Board of Directors does not participate to carry out new tasks. Instead, the list includes Mr. Nguyen Van Tuan, General Director of Gelex.

The group’s representative said that the employees all have strategic vision, extensive experience, diverse expertise and have been with Gelex for many years. The Board of Directors for the 2026-2031 term will aim to build a governance structure according to international and transparent practices, leading the business to realize the vision, mission and core values ​​established in the new development period.

Gelex’s 2026 Annual General Meeting of Shareholders will be held on April 1 at Fairmont Hanoi Hotel. The Congress will consider and approve many important contents such as the consolidated net revenue plan of VND 44,712 billion and pre-tax profit of VND 3,615 billion.

The group plans to pay dividends in 2025 with a total of 33%. Of which 25% is paid in shares and 8% in cash. This cash dividend has been advanced from September 11, 2025, equivalent to nearly 722 billion VND. In addition, the business plans to issue additional shares to increase capital from equity sources at a rate of 20%. If this plan is approved by the general meeting, the total ratio of shares and dividends shareholders will receive will be 53%, Gelex’s highest payout level in recent years.

In addition, Gelex plans to submit to shareholders the change of headquarters address to buildings at 10 Tran Nguyen Han and 27-29 Ly Thai To Street, Hoan Kiem Ward, Hanoi City, along with many other important contents.

In 2025, at the end of the board of directors term, Gelex will achieve many achievements. Consolidated revenue and pre-tax profit in 2025 reached VND 39,513 billion and VND 4,621 billion, respectively, the highest levels ever. In addition, the group and its member units build a business strategy towards 2030 with the advice of international partners. The enterprise simultaneously implemented many programs to improve management capacity and strengthen internal resources, including: implementing a risk management framework; Issue international standard financial reports IFRS; expand international capital mobilization; promote the implementation of digital offices; Developing human resources and regenerating corporate culture towards building a highly responsive and high-performance organization.

In the period 2021-2026, Gelex will complete the listing of two codes: Gelex Electricity (GEE) and Gelex Infrastructure (GEL) on HoSE, while maintaining growth with net revenue and consolidated pre-tax profit growing on average by 8.4%/year and 22.5%/year, respectively, and EBITDA increasing by 17.8%/year. According to the group’s representative, the growth rate of profit and EBITDA is higher than revenue, reflecting the in-depth development strategy and improving production and business efficiency.

Total assets during this period grew by an average of 4.7% per year despite divesting some renewable energy projects; Financial leverage and solvency indicators maintain a safe level.

“The above results and preparations for the upcoming period reflect the effectiveness of implementing restructuring strategies, long-term investment strategies, development through internal growth and selective business mergers and acquisitions, governance models and increasing corporate value after investment,” the group representative said.
