Wetteri buys the maintenance business of Sports Car Center

Car trading company Wetteri buy Sports Car Center maintenance business and start maintenance services in Helsinki.

The debt-free price of the transaction is approximately EUR 2.1 million. EUR 1.8 million of the price will be paid in cash and the rest in Wetter shares.

The turnover of Sports Car Center’s maintenance business in 2025 was approximately EUR 9.6 million. The operating profit of the business was approximately EUR 0.2 million and the EBITDA was EUR 0.3 million. The business employs 48 people, who will be transferred to Wetter with the deal.

The sale includes maintenance and workshop services. In addition, the parties have agreed to lease the Sports Car Center Airport Helsinki car sales office to Wetter. The car sales business and trade-in car inventory of the purchase destination are not included in the deal.

Wetteri will start a trade-in car operation in the premises according to its own concept by moving stock from its current stores.

Targeted share issue for Sports Car Center

In connection with the transaction, Wetteri decided on a directed share issue, in which a total of approximately 1.8 million new shares will be issued to Sports Car Center.

The subscription price of the share is 0.1656 euros per share, i.e. a total of approximately 300,000 euros. The subscription price is based on the average price of the Wetter share weighted by the trading volume of the last month’s trading day, minus 10 percent.

The new shares to be issued correspond to approximately 1.12 percent of the company’s total shares.

According to Wetter, there is a strong financial reason for the directed share issue from the company’s point of view, because the share issue is related to the implementation of a business acquisition that is significant in terms of the company’s business and strategy. Share consideration lightens the cash payment of the transaction and strengthens the seller’s commitment to the success of the transaction through restrictions on the transfer of shares.
