Oriola’s government recommends combining equity series

Medicine wholesaler Oriola On Monday evening, it announced that its Board of Directors recommends a shareholder’s proposal for the merger of the share species and the directed free share issue.

Proposal made Mariatorpthat owns 14.67 % of Oriola’s votes and shares according to information dated at the end of February. Mariatorp is Oriola’s largest shareholder.

According to the proposal, Oriola’s A and B shares will be converted into one share species and the provisions on different types of share species will be removed from the articles of association. After merging, all shares would have one voice. In practice, this means a seven percent premium, which corresponds to the ownership of the B-series owners.

According to the proposal, one new share would be given in the share issue per fourteen shares. The share issue would compensate for the loss of voting power from the combination of share species.

The merger is justified so that it could increase the liquidity of the shares, market value, clarify the ownership and voting structure and its transparency, and thus increase Oriola’s interest as an investment. The merger could also improve Oriola’s ability to obtain equity financing with share issues and participate in various industry arrangements.

Oriola’s Board of Directors will include the proposals made by the shareholder in the notice of the general meeting.
