The Shareholders’ Nomination Committee proposes that Orthexin the number of board members will be increased from the current five to six. At the same time, the committee proposes that board members be re-elected Sanna Suvanto-Harsaae, Markus Hellström, Anette Rosengren and Tuomas Yrjölä.
Current member of the board Jyrki Mäki-Kala has announced that he is no longer available for re-election.
His replacement is proposed Sari Somerkalliota and David Miller. The term of office of the new members will continue until the 2027 annual general meeting, if the general meeting approves the committee’s proposal.
Sari Somerkallio has been operating since 2022 by F-Secure as CFO and member of the management team.
David Miller has led the investment business at JP Morgan Private Bank and Royal Bank of Canada, among others.
David Miller works for Conficap. Conficap owns 14 percent of Orthex’s shares, so Miller is not independent of the company’s significant shareholders. All other candidates are independent of both the company and its significant owners.
All candidates have given their consent to the position, and the board chooses a chairman from among them at its organizational meeting.
