The US investor Bill Ackman and his investment company Pershing Square Capital want to take over the world’s largest music group Universal Music Group (UMG) for around 56 billion euros. Pershing is offering a total of 30.40 euros per UMG share. This corresponds to a premium of around 78 percent over the last closing price.
Universal Music Group has a wide range of artists under contract, with stars such as Taylor Swift, Lady Gaga and Billie Eilish and German artists such as Clueso. In addition to Universal Music, Warner Music and Sony Music are among the three remaining large music companies that are referred to as major labels.
According to the offer, UMG shareholders will receive 9.4 billion euros in cash, which corresponds to 5.05 euros per share, as well as 0.77 shares of a new company for each UMG share held, as Pershing Square announced. Pershing Square’s plans include merging Universal Music with US-based acquisition vehicle SPARC Holdings.
UMG shares recently rose by almost ten percent, the shares of major shareholder Vivendi by 8.6 percent. Representatives of Universal Music and its major shareholder Vivendi SE declined to comment, according to the Bloomberg news agency.
The activist investor Ackman is one of the richest people in the world. According to Forbes, the investor’s fortune is estimated at more than nine billion dollars. Ackman founded and runs the investment company Pershing Square Capital Management, LP in 2004. Pershing Square has stakes in numerous major US companies, including Universal Music as well as Uber, Amazon and Alphabet.
