STOCK EXCHANGE: The consortium’s purchase offer for Tecnotree was not suitable for investors

The Helsinki Stock Exchange opened in the morning to a gentle decline, but turned to an increase in the afternoon. The general index finally closed with a rise of 0.2 percent to 13,194 points. In the most traded stocks Nokia rose 0.8 percent, while Nordea strengthened by 0.4 percent.

Inter alia Orion, Health house and Nokian Tires received several changes. Orion’s target prices increased and recommendations decreased after the price increase. Nokian Tires’ target prices also increased and recommendations decreased. Terveystalo’s target prices fell. OP raised F-Secure’s target price to EUR 2.30 from EUR 2.10 and reiterated the buy recommendation.

Tecnotree’s purchase offer below the target limit

Serving telecom operators Tecnotree (-9.0%) announced that the Resilience Investment Holdings consortium, which made a purchase offer for the company, did not get more than 90 percent of the shares and votes behind it, so that the company could be removed from the stock exchange.

According to the stock exchange release, 62.5 percent of the shares and the voting rights they produce were behind the offer, and for this reason the consortium will not implement the purchase offer.

The investment company was behind the offer HeliosCEO and largest owner of Tecnotree Padma Ravichander and large owners Neil Macleod and Conrad Phoenix.

“No decisions have been made about making or not making a new purchase offer in the future,” the release states.

A software company LeadDesk announced that it has (+5.0%) agreed to buy Telia contact center software platform ACE, which, according to the company, significantly strengthens its position in Sweden and the Nordic countries.

After the deal is completed, Sweden will become LeadDesk’s largest single market, ahead of Finland and Norway, the company says. At the same time, the weight of customer service software in the group’s business is increasing and makes up two thirds of the group’s recurring turnover.

The debt-free purchase price is SEK 25 million, which will be paid in cash at the time of completion of the transaction. In addition, the arrangement includes an additional purchase price based on turnover, which can be a maximum of SEK 30 million. The possible additional purchase price will be paid during 2029. The purchase price is financed with existing cash resources and a credit line.

The implementation of the arrangement requires approval in accordance with Sweden’s foreign direct investment (FDI) monitoring system and the fulfillment of other usual implementation conditions. The arrangement is expected to be implemented in the fourth quarter of 2026.

The transaction has no effect on LeadDesk’s guidance for 2026. The company guides the EBIT margin in 2026 to be 15–20 percent.

Engineering works Wärtsilä (+2.3%) announced that it and Carnival Corporation have entered into an eight-year lifecycle agreement covering four cruise ships in the Princess Cruises and Carnival Cruise Line fleets, including two newbuildings currently under construction. Wärtsilä booked the order for the second quarter of 2026. Wärtsilä does not publish the value of the order.
