A significant acquisition from GRK – The purchase price can reach almost 100 million euros

Infrastructure developer GRK buys Central Finland Betonirakenne for almost 100 million euros.

Infrarakennus Group GRK Infra has signed the share transfer deed with which it acquires its ownership of Keski-Suomen Betonirakenne Oy with its subsidiaries. The deal is expected to be completed at the beginning of July 2026, when the Finnish and Swedish competition authorities and the Swedish ISP responsible for strategic security have given their approval.

The total value of the acquisition will rise to approximately one hundred million euros at its highest, and it will be financed with GRK’s existing cash resources and a share exchange. The basic purchase price according to the agreement is EUR 85.5 million, which consists of EUR 58.7 million in cash and more than 1.6 million new GRK shares.

In addition to this, the parties have agreed on an additional purchase price of approximately EUR 12 million, which is tied to KSBR’s future profit development in the years 2026–2028 and to the income of a certain development project.

To ensure commitment, KSBR’s current principal owners will become shareholders of GRK as a result of the transaction, and the consideration shares they receive are mainly subject to a 36-month transfer restriction, i.e. a lock-up period. In addition, GRK is considering a separate binding issue of shares to KSBR’s other key personnel who are not among the current main sellers.

“The acquisition contributes to GRK’s strategic goal of growing profitably, expanding our operations and increasing the private sector customer base. There is strong demand in the infrastructure construction market, especially in green transition projects, industrial projects, and data centers”, CEO Mika Mäenpää tells.

GRK estimates that the acquisition will increase its turnover and adjusted operating profit already during the current year 2026. The company’s valid profit guidance issued in February predicts a turnover of around 720–870 million euros and an adjusted operating profit of 45–60 million euros for 2026.

GRK assesses the need to update its guidelines for the year 2026 and will publish any updates upon completion of the transaction.
