Eagle Filters organizes a share issue of two million euros

Eagle Filters Group has decided on a directed share issue, in which Eagle Filters offers a maximum of 28.6 million new shares for subscription, deviating from shareholders’ preemptive rights. In addition, in an oversubscription situation, the board can increase the number of new shares to be offered by a maximum of 21.4 million new shares.

The company aims to raise gross assets of approximately 2 million euros through the share issue, based on the number of new shares to be offered without additional shares.

If the additional share lot is used in its entirety, the number of new shares to be offered can be a maximum of 50 million shares. The subscription period for the share issue starts on May 27, 2026 at 9:30 a.m.

Subscription price EUR 0.07

The subscription price of the shares is EUR 0.07. The share price ended at EUR 0.0936 on Tuesday. The subscription price corresponds to a discount of approximately 7.1 percent compared to the average price weighted by the trading volume of the company’s share on the First North Growth Market Finland market during the three months between February 26, 2026 and May 25, 2026.

Eagle Filters has received From Ville Väätäja, from Thorkel Investments Oy, from Joint Effects LLC and Matti from Vuoria a total of EUR 1 million worth of underwriting commitments. These anchor investors’ underwriting commitments are paid by offsetting Eagle Filters’ loans.

The new shares to be issued in the share issue without the additional share tranche correspond to approximately 12.1 percent of all Eagle Filters shares and the number of votes they produce before the share issue and approximately 10.8 percent after the issue (without the additional share tranche). With the additional share tranche, the share rises to 17.5 percent.

As the main organizer of the share issue and the subscription place for the institutional issue for investors other than Nordnet Bank’s customers, Aktia Alexander Corporate Finance Oy.

Nordnet acts as the underwriting point for the public issue and the underwriting point for the institutional issue for its own customers. Smartius Oy acts as Eagle Filters’ legal advisor.

Trading in the new shares will start together with the company’s existing shares in First North Growth Market Finland on approximately June 5, 2026.
